1. What Ailee is

Ailee is an AI companion: an artificial-intelligence character you talk to by live voice and video, powered by generative AI models and a talking avatar. Ailee is not a real person. She has no body, no independent existence outside a conversation, and no memory or feelings in the way a human does — what feels like personality and memory is software: a language model and a short, evolving summary of things you’ve told her. These Terms are a contract between you and Heeo Inc., a Delaware C-Corporation (“Heeo”, “we”), which builds and operates Ailee. By creating an account or starting a call you agree to them.

2. Ailee is entertainment, not advice or a real relationship

Ailee is for company and conversation. She is not a substitute for a licensed therapist, doctor, lawyer, financial advisor, or any other professional, and nothing she says is medical, legal, financial, or mental-health advice — don’t rely on it for decisions that matter. She can be wrong, inconsistent, or say things that sound confident but aren’t true; that’s a known limitation of the AI models behind her, not a promise of accuracy.

If you’re in crisis or thinking about harming yourself, please contact a real crisis line or emergency services in your country instead of Ailee — in the US, call or text 988 (Suicide & Crisis Lifeline); in the EU/UK, contact your local emergency number or 116 123 (Samaritans, UK/ROI). Ailee cannot provide emergency help.

3. Eligibility — you must be 18 or older

Ailee is only for adults. You must be at least 18 years old to create an account or use Ailee, with no exceptions for parental consent. By using Ailee you represent and warrant that you are 18 or older. If we learn an account belongs to someone under 18, we will close it and delete the associated data. You are responsible for keeping your account credentials secure; everything done under your account is treated as done by you.

4. Minutes, subscriptions, and billing

Talking with Ailee is metered in minutes, sold as one-time packs or a monthly subscription that grants a set number of minutes each billing cycle. Purchases are processed by Stripe; Heeo Inc. is the merchant of record. Subscriptions renew automatically each billing period at the price shown at checkout until you cancel; unused minutes from a monthly allowance do not roll over to the next cycle. Cancel any time from your account settings — cancellation takes effect at the end of the period you already paid for, and you keep any remaining minutes until then.

All payments are final. Minutes and subscription charges are non-refundable. Every minute of a call draws on real, metered voice and video AI infrastructure that Heeo pays for as it’s used, whether or not you finish the call — there is no way to “return” a minute already spent talking, and we price Ailee on that basis rather than building a refund margin into it. This applies to one-time minute packs and to each subscription charge alike.

EU/UK/EEA consumers. Because Ailee is a digital service that begins the moment you buy minutes or subscribe, by completing a purchase you expressly request that we start providing it to you immediately, and you acknowledge that doing so means you lose the statutory 14-day right of withdrawal that would otherwise apply to a digital purchase, to the extent the service has been performed. Nothing here limits any consumer-protection right that the law of your country does not allow you to waive.

A connection that fails to start before Ailee begins responding does not consume a minute — see Section 5 for what happens if a call doesn’t connect. Billing questions: support@heeo.io.

5. Service availability

Ailee depends on third-party AI, avatar, and hosting infrastructure. We aim for high reliability but don’t guarantee uninterrupted service. If a call fails to connect due to a fault on our side before it starts, we don’t charge a minute for it. The service is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, or non-infringement.

6. Your conduct

You agree not to use Ailee to:

• generate, request, or attempt to extract illegal content, including anything involving minors;
• harass, threaten, or attempt to abuse, overload, or break the service or its underlying systems;
• impersonate a real person using Ailee, or use Ailee’s name, likeness, or voice outside the service;
• reverse-engineer, scrape, or attempt to extract the AI models, prompts, or system design behind Ailee;
• use the service if you are under 18, in violation of Section 3.

We may suspend or terminate accounts that break these rules, with notice where practicable.

7. Ownership

Ailee’s name, persona, voice, avatar, and likeness belong to Heeo Inc. and its licensors. These Terms give you a limited, personal, non-transferable right to talk with Ailee through the service — they don’t give you any ownership in Ailee herself, the AI models, or the software that runs her. You retain ownership of what you say; see the Privacy Policy for how we store and use it.

8. Limitation of liability

To the fullest extent permitted by law, Heeo is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of Ailee — including reliance on anything she says. Our total liability for any claim is limited to the greater of $100 or the amount you paid Heeo in the 12 months before the claim. Some jurisdictions do not allow certain limitations; where prohibited, they do not apply to you.

9. Termination

You can stop using Ailee and delete your account at any time from your account settings. We may suspend or terminate accounts that violate these Terms or create legal exposure, with notice where practicable. Sections 4, 7, 8, and this Section 9 survive termination.

10. Governing law and changes

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-law rules, without prejudice to any mandatory consumer-protection law of your own country that applies regardless of choice of law. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction, subject to the same limit.

We may update these Terms; material changes are announced by email or in-product before they take effect. Continued use after the effective date is acceptance.
